1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and MindCraftor, Inc. ("MindCraftor," "we," "us," or "our") governing your access to and use of the MindCraftor website, applications, APIs, and services (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

2. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the updated Terms.

3. Eligibility and Account Registration

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this requirement.

To access certain features, you may need to register for an account. You agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete. You are solely responsible for safeguarding your account credentials and for all activities that occur under your account.

4. License and Restrictions

4.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business or personal purposes.

4.2 Restrictions

You agree not to:

  • Use the Services for any illegal purpose or in violation of any laws
  • Modify, adapt, or hack the Services or modify another website to falsely imply that it is associated with MindCraftor
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without express written permission
  • Use any automated system to access the Services in a manner that sends more request messages to our servers than a human can reasonably produce in the same period
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorized access to the Services or related systems or networks

5. Intellectual Property Rights

5.1 Our Intellectual Property

MindCraftor and its licensors own all right, title, and interest in and to the Services, including all associated intellectual property rights. Nothing in these Terms grants you any right, title, or interest in the Services except for the limited license set forth above.

5.2 Your Content

You retain all right, title, and interest in and to the content you submit to the Services ("Your Content"). By submitting Your Content to the Services, you grant MindCraftor a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and display Your Content in connection with the Services.

5.3 Feedback

You grant MindCraftor a perpetual, irrevocable, worldwide, royalty-free, fully-paid, assignable, and sublicensable license to use, reproduce, modify, adapt, publish, distribute, and exploit any feedback, suggestions, or comments you provide regarding the Services for any purpose.

6. User Conduct

You agree not to use the Services to:

  • Violate any applicable law or regulation
  • Infringe the rights of any third party, including intellectual property, privacy, or publicity rights
  • Upload or transmit any viruses, malware, or other harmful code
  • Collect or harvest any personally identifiable information
  • Engage in any activity that could disable, overburden, or impair the Services
  • Impersonate any person or entity

7. AI-Generated Content

7.1 No Warranties for AI Output

Our Services may generate AI-created content in response to user inputs. MindCraftor makes no representations or warranties about the accuracy, completeness, reliability, suitability, or availability of any AI-generated content. The use of AI-generated content is at your own risk.

7.2 User Responsibility

You are solely responsible for reviewing, evaluating, and making decisions based on any AI-generated content. MindCraftor shall not be liable for any actions you take or decisions you make based on AI-generated content.

8. Payment Terms

8.1 Fees

You agree to pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. You are responsible for providing current, complete, and accurate billing information.

8.2 Subscription Services

Subscription fees are charged in advance and are non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account.

9. Termination

We may terminate or suspend your access to all or part of the Services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users of the Services, our business, or third parties.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive termination.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MINDCRAFTOR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MINDCRAFTOR, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.

MINDCRAFTOR'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO MINDCRAFTOR IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR $100, WHICHEVER IS LESS.

12. Indemnification

You agree to indemnify, defend, and hold harmless MindCraftor and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (i) your use of the Services; (ii) your violation of these Terms; (iii) your violation of any third-party rights; or (iv) any claim that Your Content caused damage to a third party.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Services shall be submitted to confidential binding arbitration in Delaware, except that either party may bring suit in court to enjoin infringement or other misuse of intellectual property rights. TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO WAIVE YOUR RIGHT TO TRIAL BY JURY OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MindCraftor regarding the Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter of these Terms.
